Welcome to Toushay AI (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website https://toushay.ai (“Website”) and any products, services, tools, or content provided by us (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

1) Eligibility

Toushay AI provides AI-powered marketing, automation, consulting, and related digital solutions. Services may include:

AI chatbot design and deployment

- Marketing campaign strategy & management

- Website design, automation, and integration services

- Paid advertising creation and management

- Analytics, tracking, and conversion optimization

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability.

3) Accounts & Access

To access certain Services, you may need to create an account and provide accurate, complete information. You are responsible for:

- Maintaining the confidentiality of your login credentials

- All activities under your account

- Promptly notifying us of unauthorized use

We reserve the right to suspend or terminate your account if we suspect fraudulent or abusive activity.

4) Payment Terms

Unless otherwise stated in a signed agreement:

- Fees are due as stated in your invoice or subscription plan

- All fees are non-refundable unless required by law

- Late payments may result in service suspension and/or interest charges

5) Acceptable Use

You agree not to:

- Use the Services for unlawful purposes or in violation of applicable laws

- Attempt to gain unauthorized access to systems or networks

- Reverse engineer, decompile, or modify any part of the Services

- Interfere with or disrupt the performance of the Services

- Use the Services to transmit spam, malware, or harmful code

6) Intellectual Property

All content, software, trademarks, and materials provided through the Services are the property of Toushay AI or our licensors and are protected by applicable intellectual property laws.

You may not copy, distribute, or create derivative works without our prior written consent, except as expressly permitted under these Terms.

7) Confidentiality

If you receive confidential information from us, you agree not to disclose it without our written consent. Likewise, we will treat your non-public business information as confidential, except where disclosure is required by law.

8) Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Services will be error-free, uninterrupted, secure, or that they will meet your expectations.

9) Limitation of Liability

To the fullest extent permitted by law:

- Toushay AI is not liable for indirect, incidental, consequential, or punitive damages

- Our total liability for any claim related to the Services is limited to the amount you paid us for those Services in the 3 months preceding the claim

Some states do not allow the exclusion or limitation of certain damages, so these limits may not apply to you.

10) Indemnification

You agree to defend, indemnify, and hold harmless Toushay AI, its affiliates, and their officers, employees, and agents from any claims, damages, losses, or expenses (including attorney’s fees) arising from your use of the Services or violation of these Terms.

11) Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, all rights granted to you under these Terms will immediately end.

12) Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Duval County, Florida, and you consent to their jurisdiction.

13) Changes to These Terms

We may update these Terms from time to time. The “Effective Date” will reflect the latest version. Continued use of the Services after changes means you accept the revised Terms.

Appendix A – Service-Specific Terms

1. AI-Generated Content & Automation

- AI outputs are generated based on patterns in data and may contain inaccuracies. You are solely responsible for reviewing and approving all content before publishing or using it in any business decision.

- Toushay AI is not responsible for any legal, compliance, or reputational issues resulting from your use of AI-generated content.

2. Client Data & Compliance

- You must have all necessary rights, permissions, and legal bases to provide any data used in the Services.

- You are responsible for ensuring compliance with all applicable laws (including advertising, privacy, spam, and industry-specific rules).

- For industries with special regulations (e.g., healthcare, finance, legal), you are responsible for ensuring content meets all applicable requirements before it is published.

3. Advertising & Campaign Performance

- Marketing results depend on many factors outside our control, including market conditions, ad platform policies, competition, and budget. - We make no guarantees of specific performance or outcomes.

- Ad spend is billed directly by the advertising platform unless otherwise agreed in writing. Toushay AI is not responsible for platform billing errors or suspensions.

4. Third-Party Tools & Integrations

- Our Services may integrate with third-party platforms (e.g., Facebook, Google, GoHighLevel, Zapier). You agree to comply with those platforms’ terms and understand they may change without notice.

- We are not responsible for downtime, errors, or changes in functionality of third-party services.

5. Approval Process

- You will have an opportunity to review and approve deliverables before launch. Your approval constitutes acceptance, and any changes requested after launch may incur additional fees.

6. Limitation on Content Hosting

- We are not a permanent storage provider. Files, campaigns, or projects may be removed from our systems after project completion unless otherwise agreed.
